The role: Corporate Counsel, Mergers and Acquisitions
As a Corporate M&A Attorney you will focus on all aspects of mergers and acquisitions as well as investments. You are a talented attorney who can work independently but collaboratively on a collegial team within a fast-paced legal department. You will be expected to manage a variety of M&A and investment transactions, have the presence and ability to advise senior management, and have the entrepreneurial spirit to contribute to the management and direction of a constantly evolving business.
Responsibilities:
- Work extensively with Google’s management, corporate development and business development groups to structure and negotiation acquisitions and investments. Advise on legal matters affecting acquisition transactions, including corporate, tax (including the treatment of employee equity), intellectual property, 280G and 409A matters.
- Develop legal strategy on specific M&A transactions as well as across multiple transactions and complex legal and regulatory issues.
- Provide legal support for special project, including joint ventures, equity investments, earn-outs and milestone arrangements.
- Provide legal support for the Board of Directors and its subcommittees.
- Provide education and advice on corporate and M&A matters across various departments within Google, including finance, legal, product management and engineering.
Requirements:
- J.D. degree preferred with strong academic record. Admitted to the California Bar a plus.
- At least 6 years corporate, M&A, securities, investment, and other transactional experience with a nationally recognized law firm.
- Broad experience advising business personnel and senior management on strategic M&A, investments, and corporate finance activities globally, including acquisitions, divestitures, corporate reorganizations, JVs, equity investments, and financings.
- Extensive hands-on public and private M&A experience, including structuring, negotiating, and drafting principle agreements and leading cross-functional teams.
- Conversant in a broad range of legal issues impacting M&A transactions in the technology space, including tax, intellectual property and employment issues. Ability to distill and prioritize complex and urgent legal issues.
- Sound business judgment, clear communication and strategic thinking. Flexibility, initiative and willingness to work on a broad variety of legal matters.
- Hard-working, problem-solving and able to manage numerous projects and teams simultaneously under deadline pressure. Excellent interpersonal skills, sense of humor and team-oriented.
